Terms of Use
PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION THAT AFFECTS YOUR RIGHTS, REMEDIES, AND OBLIGATIONS. THEY INCLUDE AN AGREEMENT TO ARBITRATE (UNLESS YOU OPT OUT). THESE TERMS ALSO INCLUDE A PROHIBITION OF CLASS AND REPRESENTATIVE ACTIONS AND NON-INDIVIDUALIZED RELIEF FOR ALL MATTERS IN EITHER COURT OR ARBITRATION, VARIOUS LIMITATIONS AND EXCLUSIONS, A CLAUSE THAT GOVERNS THE JURISDICTION, VENUE, AND GOVERNING LAW OF DISPUTES, EXCEPT WHERE PROHIBITED, AND OBLIGATIONS TO COMPLY WITH APPLICABLE LAWS AND REGULATIONS.
Introduction
IROc Inc. and its subsidiaries (collectively, “IROc”, “we”, or “us”), provide an online car sharing platform that connects vehicle owners with drivers seeking to book those vehicles. IROc is accessible online including at huur-usa.com and as an application for mobile devices. IROc's websites, blog, mobile applications, and associated services are collectively referred to as “the Services”. By accessing or using the Services, including by communicating with us or other IROc users, you agree to comply with, and be legally bound by, the provisions of these Terms of Service (these “Terms”), whether or not you become a registered user of the Services. These Terms govern your access to and use of the Services and constitute a binding legal agreement between you and IROc.
These Terms, together with IROc's Privacy Policy, applicable insurance terms and certificates, roadside assistance terms, and the user Policies accessible via the Services (the “Policies”) constitute the “Agreement” between you and IROc (each a “Party” and together, “the Parties”).
Modification. IROc reserves the right, at our sole discretion, to modify the Services or to modify the Agreement, including these Terms, at any time. If we modify these Terms, we will post the modification on the Services. We will also update the “Last Modified” date at the top of these Terms. If you continue to access or use the Services after we have posted a modification or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified terms. If the modified terms are not acceptable to you, your sole recourse is to stop using and accessing the Services and close your HUUR Account within 30 days.
Eligibility, Registration, Verification
Eligibility. The Services are intended solely for persons who are 18 or older. Any use of the Services by anyone that does not meet these age requirements is expressly prohibited. By accessing the Services, you affirm that you are at least 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms.
Registration. To access certain features of the Services, you must sign up for an account with us (a “HUUR Account”). You can create a HUUR Account by providing us your first and last name, email address, and creating a password. You must provide accurate, current, and complete information during the registration, booking, and/or listing process. You must keep your HUUR Account up to date at all times.
Verification. Where permitted, IROc has the right, but not the obligation, to undertake screenings, checks, and engage in processes designed to (1) help verify the identities or check the backgrounds of users, including driving history and driver's license validity and (2) verify vehicle details. IROc does not endorse any vehicle, user, or a user's background, or commit to undertake any specific screening process.
Consumer Report Authorization. When you attempt to book or list a vehicle, or at any time after where IROc reasonably believes there may be an increased level of risk associated with your HUUR Account, you hereby provide IROc with written instructions and authorize IROc, in accordance with the Fair Credit Reporting Act, applicable consumer reporting laws, or any similar laws to obtain your personal and/or business auto insurance score, credit report, and/or conduct a background check, including a criminal background check where permissible under applicable law.
Fees, Taxes, Term
Fees. Per each booking made through our Platform we charge the higher of 2.5% of the total cost of the rent of the vehicle (Total Rent) or $10. Additionally, you will be charged 2.9% plus cents for each transaction as a transaction processing fee (collectively “Fees”). All Fees are borne by the drivers and collected from them.
Payment Processing. Payment processing services are provided by Stripe Payment System (“STRIPE”) and subject to STRIPE terms of use and other related policies. Where you receive payment proceeds via STRIPE, you agree to be bound by the STRIPE Terms of Use.
Collection of fees. IROc and its service providers will employ all legal methods available to collect amounts due, including the engagement of collection agencies or legal counsel. If you wish to dispute information IROc reported to a credit bureau, please contact siyovush.mirzoev@huur-usa.com.
Taxes. Hosts shall be responsible for ensuring that they collect and pay sales tax, their own income taxes and withholding taxes and any other applicable taxes, associated with the rental transactions and use of Platform to any state, local or federal governing body.
Term of rent. Each booking made through our Platform cannot exceed 52 weeks of continuous rent.
Tolling Responsibility and Agreement
By using the vehicle, the user agrees to be fully responsible for all toll charges incurred during the rental period. The user acknowledges and agrees that all toll-related charges during the reservation period are their sole responsibility, and they shall not dispute or challenge any toll transactions.
By agreeing to these Terms, you authorize Huur to automatically charge your payment method on file for tolls incurred during or after the rental period, without the need for additional consent per transaction.
Responsibility of Vehicle Owners / Companies - For vehicles enrolled by rental companies or individual owners, the responsibility for toll payment collection ultimately remains with the vehicle owner or company. Huur provides the payment processing tools and billing system to assist in collecting tolls from drivers; however, it is the owner's duty to ensure that the assigned driver has paid all incurred tolls.
Toll Pricing and Billing Structure
TLC/Uber Drivers Renting For-Hire Vehicles
- •A $6 activation fee is charged when the owner adds the driver to the vehicle and initiates toll service.
- •A $6 monthly fee is charged thereafter.
- •If the driver uses their own E-ZPass or transponder, they will be charged $10 per toll as a processing penalty, plus the actual toll amount and applicable payment processing fees.
- •If the driver uses a Huur-provided transponder, they will be charged $0.75 per toll, plus the toll amount and applicable payment processing fees.
Regular Car Rentals
- •A $10 activation fee is charged when the vehicle owner adds the driver and initiates toll service.
- •For each toll incurred using a Huur transponder, the driver is charged $0.75 per toll, plus the toll amount and payment processing fees.
- •If the same vehicle remains active for more than one month, a $10 monthly fee will also apply.
Private Vehicle Owners (TLC or Regular Plates)
- •A $6 setup fee is charged upon account registration with Huur.
- •A $6 monthly fee is charged for continued toll management.
- •If the customer uses their own transponder, they will be charged $5 per toll as a processing penalty, plus the toll amount and payment processing fees.
- •If the customer uses a Huur-provided transponder, they will be charged $0.75 per toll, plus the toll amount and payment processing fees.
Additional Confirmation Requirement - Toll-related charges will not begin until the user receives a confirmation email and explicitly agrees to the toll service enrollment by clicking the provided link or button.
Chargebacks and Dispute Consequences - Any attempt by the user to reverse or dispute legitimate charges incurred through the Services - including, but not limited to, toll charges - without first contacting Huur to resolve the issue may result in account suspension, restriction of future rentals, debt collection actions, and/or reporting to credit bureaus.
Toll Notification Consent - By using the Services, you consent to receive toll-related notifications from Huur via email and/or SMS.
Cancellation and Refunds
Cancellation by drivers. If, as a driver, you cancel your requested booking before the requested booking is confirmed by a host, IROc will cancel any pre-authorization to your credit card within a commercially reasonable time.
If, as a driver, you cancel a confirmed booking, the following cancellation fees apply:
Cancellation by hosts. If as a host you cancel a confirmed booking, IROc will refund the Total Fees and Deposit minus all applicable transaction fees to the applicable driver within a commercially reasonable time. In no event can a booking be cancelled by a host after a driver has picked up the vehicle.
General terms. Transaction processing fees, including any STRIPE fees, are non-refundable. Cancellations are registered on working days only: Mon-Fri 10:00-16:00 (Eastern Standard Time), excluding USA national holidays.
Your Commitments
You agree that you will always use your HUUR Account and the Services in compliance with these Terms, applicable law, and any other policies and standards provided to you by IROc.
Account Activity. You are, and will be solely responsible for, all of the activity that occurs through your HUUR Account. Keep your HUUR Account information, including your password, secure. You agree that you will not disclose your password to any third party. You will immediately notify IROc of any actual or suspected unauthorized use of your HUUR Account.
Content
IROc grants you a limited, revocable, non-exclusive, non-transferable license, to access and view any IROc and/or user content to which you are permitted access, solely for your personal and non-commercial purposes. By making available any content on or through the Services, you grant IROc a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such content on, through, by means of, or to promote or market the Services.
Prohibited Activities
In connection with your use of or access to the Services, you agree that you will not violate any law, dilute or harm the IROc brand, provide false or misleading information, fail to honor your commitments, harm or threaten other users, sue IROc in any prohibited manner, use the Services for unrelated purposes, or interfere with the operation of the Services. IROc has the right to investigate and pursue violations. IROc reserves the right to remove content, limit or suspend accounts, and take legal steps to prevent misuse.
Non-disparagement. The Parties agree that they will not take any action that will harm the reputation of the other Party.
Specific Terms for Drivers
Drivers commit to being legally licensed, treating vehicles well, and returning them on time. The primary driver is financially responsible for all physical damage or theft during a rent. Drivers agree to a Deposit (the higher of one week's rental or $400 USD). Vehicles must be used only for personal use or taxi services, not for ride-sharing services like Uber or Lyft without written permission.
Specific Terms for Hosts
Hosts commit to providing safe, legally registered and insured vehicles. Any vehicle listed on the Services must be exclusively listed on the Services. Hosts are responsible for maintenance, pricing, and reporting vehicle damage within 24 hours.
Dispute Resolution
Disputes will be resolved by binding arbitration through the American Arbitration Association (AAA). The Parties agree to pre-arbitration negotiation first. The substantive law of New Jersey applies. New users may opt out of arbitration within 30 days by emailing siyovush.mirzoev@huur-usa.com. Class actions and representative proceedings are prohibited.
General Provisions
The Agreement is governed by the substantive laws of New Jersey. IROc is not a rental car company; it provides an online platform for vehicle sharing. Limitation of liability, indemnification, and liquidated damages ($5,500 per breach) provisions apply.
Data Charges and Privacy
Standard text messaging and data rates may apply. IROc does not sell or share personal information or phone numbers with third parties for marketing purposes without explicit consent.
